Terms of Service

These Terms of Service ("Terms") govern your use of the Atarxi mobile application ("App") operated by Atarxi ("we," "us," or "our"). By creating an account or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. What Atarxi Is — And What It Is Not

You acknowledge and agree that:

• All AI-generated responses are for general informational and self-reflection purposes only.
• Nothing in the App constitutes a professional-client relationship of any kind.
• You remain solely responsible for your own health decisions and should consult qualified professionals for medical, psychological, or psychiatric concerns.
• Atarxi's AI may produce responses that are factually incorrect, contextually inappropriate, or potentially unhelpful. You agree to exercise your own judgment when using the App.

2. Crisis and Emergency Situations

Atarxi is not a crisis service. While the App includes automated systems that attempt to detect crisis-related language and provide resource information, these systems are imperfect and may fail to detect a crisis or may provide inadequate responses. You should never rely on Atarxi as your sole source of support during a crisis.

You agree that:

• Atarxi is not monitored by humans in real-time and cannot dispatch emergency services.
• Automated crisis detection is best-effort, not guaranteed, and may produce false negatives or false positives.
• You will seek professional help immediately if you experience a mental health crisis, regardless of what the App suggests.

3. Eligibility

• You must be at least 18 years old to use Atarxi.
• By creating an account, you represent and warrant that you are 18 years of age or older.
• We reserve the right to terminate accounts of any users we reasonably believe to be under 18.
• If you are a parent or guardian and discover that your minor child has created an account, contact us immediately at support@atarxi.com for account deletion.

4. Account and Security

• You are responsible for maintaining the security of your account credentials.
• You agree to notify us immediately if you suspect unauthorized access to your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.
• You may delete your account at any time by contacting support@atarxi.com.

5. Subscriptions and Payments

5.1 Free Tier

Atarxi offers a limited free tier with a capped number of sessions per month. Free tier access may be modified or discontinued at our discretion.

5.2 Premium Subscription

• Premium subscriptions are billed through Apple App Store or Google Play Store.
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.
• You may cancel your subscription at any time through your device's app store settings.
• Refunds are handled by Apple or Google in accordance with their respective refund policies.

5.3 Price Changes

We may change subscription pricing with at least 30 days' notice. Existing subscribers will be notified before any price increase takes effect.

6. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose
• Attempt to exploit, manipulate, or jailbreak the AI system
• Use the App to generate harmful, abusive, or illegal content
• Impersonate another person or misrepresent your identity
• Use the App on behalf of a minor
• Reverse engineer, decompile, or extract the source code of the App
• Use the App to provide services to third parties (e.g., as a substitute for professional therapy for others)
• Interfere with the App's infrastructure or other users' access

7. AI-Generated Content Disclaimer

All responses generated by Atarxi's AI are produced algorithmically and are not reviewed by humans before delivery. You understand and agree that:

• AI responses do not reflect the views, opinions, or professional judgment of any human being.
• AI responses may contain errors, inaccuracies, biases, or contextually inappropriate suggestions.
• We make no warranty that AI responses are accurate, complete, current, reliable, suitable, or appropriate for any particular purpose.
• You should independently verify any information provided by the App before relying on it.
• We do not endorse, recommend, or guarantee any technique, strategy, or suggestion generated by the AI.

8. Limitation of Liability

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain types of damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.

Nothing in these Terms excludes or limits our liability for fraud, gross negligence resulting in personal injury, or any other liability that cannot be excluded by law.

9. Indemnification

You agree to indemnify and hold harmless Atarxi, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit through the App

10. Intellectual Property

• The App, its design, features, and content (excluding user-generated content) are owned by Atarxi and protected by intellectual property laws.
• You retain ownership of the content you share during sessions (your words, voice input). You grant us a limited license to process this content solely to provide the App's services.
• You may not copy, modify, distribute, or create derivative works based on the App without our written permission.

11. Dispute Resolution

11.1 Informal Resolution

Before filing any legal claim, you agree to contact us at legal@atarxi.com and attempt to resolve the dispute informally for at least 30 days.

11.2 Binding Arbitration

If informal resolution fails, any dispute arising from these Terms or your use of the App shall be resolved by binding arbitration administered under the rules of the American Arbitration Association (AAA). Arbitration shall take place in the jurisdiction of our principal place of business, and the arbitrator's decision shall be final and binding.

11.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, or representative action. If this waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

11.4 Exceptions

Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction for intellectual property infringement or other urgent matters.

12. Termination

• You may stop using the App and delete your account at any time.
• We may suspend or terminate your access if you violate these Terms, with or without notice.
• Upon termination, your right to use the App ceases immediately. We will delete your data in accordance with our Privacy Policy unless retention is required by law.
• Sections 1, 2, 7, 8, 9, 10, 11, and 14 survive termination.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting a notice within the App or sending you an email at least 15 days before changes take effect. Your continued use of the App after the effective date constitutes acceptance. If you disagree with updated Terms, you must stop using the App and delete your account.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Where local consumer protection laws in your jurisdiction provide greater protections, those protections shall apply to the extent required by law.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Atarxi regarding your use of the App and supersede all prior agreements, representations, and understandings.
